Discretionary match contributions are a flexible way for employers to encourage employee participation in retirement savings plans, such as 401(k) plans. Unlike fixed matching formulas, discretionary matches allow employers to determine both the amount and timing of contributions each year. However, this flexibility comes with important regulatory requirements and documentation steps that plan sponsors must follow.
Addition of Determination Period
The IRS requires that all retirement plans offering matching contributions, regardless of whether the match is fixed or discretionary, clearly specify the determination period for matching contributions. The determination period refers to the time frame over which the matching contribution is calculated—for example, per pay period, monthly, quarterly, or annually. According to checklist Section D.13a, every plan document must indicate this period.
Discretion and the Plan Document
While the determination period must be stated, the IRS permits plan sponsors to retain full discretion regarding both the determination and allocation (timing) of discretionary matching contributions, if certain options are selected:
- Section D.8: Select “Discretionary” for the matching formula.
- Section D.8a: Choose “At Employer Discretion” as to when and how much the employer will match.
This means that even if a specific determination period is indicated in Section D.13a, the employer may reserve the right to vary the match from year to year or even forgo it altogether, as long as this discretion is properly documented in the plan.
Participant Notice Requirements
When the determination period for matching contributions is set to “At Employer Discretion” in Section D.13a, the employer must provide notice to plan participants regarding how and when the matching contribution will be determined.
